Maciej Matusiak

Maciej Matusiak graduated from the Łódź University of Technology (1992). In 1994, he obtained the license of a stockbroker and in 2002, he received the title of Chartered Financial Analyst (CFA) awarded by the CFA Institute, USA. In addition, he completed a number of trainings in the field of financial analysis and investment consulting as well as asset management.

In 1995-1996, he worked as an analyst and dealer of securities at Deawoo Towarzystwo Ubezpieczeniowe S.A. In 1996-1998, he was an analyst of shares in the Asset Management Department at the Banking Brokerage House of PKO BP SA. In the years 1998–2002, he cooperated with the Commercial Union Polska Group (currently Aviva) – initially as an analyst at Commercial Union Polska Towarzystwo Ubezpieczeń na Życie SA, then at Commercial Union Investment Management (Polska) SA.

Currently, he holds the following positions: Member of the Supervisory Board of Drop SA, Member of the Supervisory Board of MLP Group SA, Member of the Supervisory Board of Atende SA, Member of the Supervisory Board of ZPC Otmuchów SA, Member of the Supervisory Board of Libet SA, Member of the Supervisory Board of VRG S.A. Kraków.

Maciej Matusiak is not engaged in any activities competitive to the business of the Issuer. He is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Issuer’s business. Maciej Matusiak is not entered in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Karol Żbikowski

Karol Żbikowski is a graduate of the Foreign Trade Faculty of the Warsaw School of Economics and Postgraduate Investment Banking at London Guildhall University and the Gdańsk Academy of Banking. In 1994, he obtained a stockbroker’s license. In the years 1994–1997, he was employed at the Capital Operations Centre of Bank Handlowy in Warsaw, while in the years 1997–2003, he worked at Societe Generale Securities Polska, where he was a Member of the Management Board (1997-1998) and then the Chairman of the Management Board (1999–2003). In the years 2003–2005, he was an advisor in Enterprise Investors, and in the years 2004–2005, a partner in Investor Relations Partners. In 2005, he was an advisor to the Management Board of Orbis S.A. From 2005 he worked in the Unicredit CAIB Group – he was the Chairman of the Management Board of IR Services sp.z o.o. From 2006 he was the Managing Director at Unicredit Markets & Investment Banking. From 2008 to 2011, Mr. Żbikowski was a Member of the Management Board of Wydawnictwa Szkolne i Pedagogiczne S.A. and chaired the supervisory boards at companies from the WSiP Group – the logistics operator Alfa Logis and Zielona Sowa Publishing House. In 2011-2015, he was the Vice Chairman and then the Chairman of the Management Board of Incentive Solutions Polska. Since November 2018, he has been the Chairman of the Management Board of Platige Image S.A. In addition, he used to sit on the supervisory boards of the Fasing S.A. Capital Group, Elektrim Telekomunikacja sp.z o.o. – the majority shareholder of Polska Telefonia Cyfrowa (Era), Cersanit S.A., WSiP S.A., Magellan S.A., Echo Investment S.A., Sanok Rubber Company S.A., Open Finance TFI S.A. Elektrobudowa S.A. He is the Deputy Chairman of the Supervisory Boards of Mercor S.A. and Prochem S.A. as well as a Member of the Board of Best S.A.

Karol Żbikowski is not engaged in any activities competitive to the business of the Issuer. He is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Issuer’s business. Karol Żbikowski is not entered in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Paweł Turno

He studied at the Poznań University of Economics and the University of A. Mickiewicz in Poznań. He is a graduate of the Institute of Sociology at the University of A. Mickiewicza in Poznań, where he worked as a researcher for two years. He was one of the founders and, in the years 1989–1997, the Chairman of the Management Board of Emax Sp. z o.o. and in the years 1990–1994, he was the founder and Chairman of the Management Board of AMS S.A. In the years 1998-2015, he was the founder and Chairman of the Management Board of BB Investment S.A.

He currently holds the following positions: Chairman of the Management Board of Brainbox Sp. z o.o., Chairman of the Supervisory Board of BBI Development S.A., Member of the Supervisory Board of Public Profits Sp. z o.o., Member of the Management Board of Rolnicza Spółka Olejarska Sp. z o.o.

Currently, he is also a Member of the Polish Landowning Society, the Domus Polonorum Association and a Member of the Board of the Raczyński Library Foundation in Poznań.

Paweł Turno is not engaged in any activities competitive to the business of the Issuer. He is not a partner in any partnership under civil law or another type of partnership, or a member of a governing body of an incorporated company or any other legal entity which would conduct activities competitive to the Issuer’s business. Paweł Turno is not entered in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Wojciech Napiórkowski

Wojciech Napiórkowski graduated from the Faculty of Law and Administration at the University of Warsaw. He also holds the title of Master of Business Administration from the Warsaw University of Technology and London Business School.

In the years 1999–2003, he worked as an Investment Manager at Emerging Ventures Limited. In the years 2003–2007, he was an Investment Director at Advent International, while in the years 2007–2011, he was the Director at Bridgepoint Capital.
In the years 2012–2014, he was the Vice Chairman of the Management Board at Investors TFI. In January 2014, he became the Managing Director of the Aktivist FIZ fund.
In addition, Mr. Napiórkowski is a Member of the Supervisory Board at Ferro S.A., Trakcja PRKI, Adiuvo Investments S.A., Soho Development S.A. and Qumak S.A.
In the years 2012–2010, he was a Member of the Supervisory Board at GTC S.A. – the largest development company in CEE Region.

Leszek Nowina-Witkowski

Mr. Leszek Nowina-Witkowski graduated from the Faculty of Law and Administration at the University of Warsaw, as well as the School of French Law, where he obtained a “Diplôme d’Etudes Supérieures Spécialisées du Droit Français et Européen.”

Since 2008, he has been a lawyer at the Warsaw Bar Association. He was a former lecturer on civil proceedings for trainees at the Warsaw Bar Association.

From 2001 to 2002, he worked as a lawyer at the Warsaw office of Clifford Chance law firm in the corporate/real estate department, mainly serving French clients.

In the years 2003-2004, he worked as an in-house lawyer at the National Debt Center Ultimo Sp. z o.o. in Wrocław.

From 2005 to 2007, he worked and completed his legal training as a trainee advocate at Zdanowicz i Wspólnicy sp. j. law firm in Warsaw. From 2007 to 2018, as a co-founder, he served as managing partner at NWS Adwokaci, Nowina-Witkowski, Szperl i Wspólnicy sp.k. law firm.

He specialized in real estate and corporate client services. Currently, he is running his own individual law practice.

Leszek Nowina-Witkowski, as a lawyer, has many years of experience in comprehensive legal services for development projects.
